Terms of Service
Before publishing: this document must be reviewed by a qualified Indian legal practitioner, and checked against Meta's Platform Terms, WhatsApp Business Terms, Business Messaging Policy and Commerce Policy as they stand on the date of publication.
These terms govern your use of Wrenbell. By creating an account, connecting a WhatsApp Business Account, or sending a message through the platform, you accept them on behalf of your business.

1. Who this is between
This agreement is between Go Live Marcom Private Limited, a company incorporated in India with CIN [CIN] and registered office at [REGISTERED OFFICE ADDRESS] ("we", "us", "Wrenbell"), and the business that subscribes to the service ("you", "Customer").
"Wrenbell" and the "Service" mean the Wrenbell platform, its web application, its interfaces and its documentation.
2. What Wrenbell is
Wrenbell is software that connects your business to the WhatsApp Business Platform operated by Meta. It lets you manage message templates, send campaigns, handle conversations in a shared inbox, maintain contacts and consent records, and see delivery reporting.
Wrenbell is independent software. It is not a Meta product. We are not endorsed by, certified by or affiliated with Meta Platforms, Inc. or WhatsApp LLC. WhatsApp is a trademark of Meta Platforms, Inc.
3. Eligibility
Wrenbell is offered to businesses, not to consumers. You must be a legally registered business or a person acting for one, authorised to enter this agreement, and not barred from using the WhatsApp Business Platform under Meta's rules or under Indian law. You must be 18 or over.
4. Your account and seats
- Your subscription includes a stated number of seats. A seat is a named individual, and accounts must not be shared between people.
- Seats are counted within your workspace. Additional seats can be added at the published rate.
- Your Owner role controls who is invited and what each person may do. You are responsible for your team's actions in the platform.
- Keep credentials secure. Tell us at once if you believe an account has been compromised.
- Our support staff may access your workspace to assist you. Every access is recorded in an audit log visible to you.
5. Your WhatsApp account stays yours
- You own your WhatsApp Business Account, your business phone numbers, your message templates and your message history.
- You attach your own payment method to your WhatsApp Business Account. Meta bills you directly for messaging at Meta's published rates. We add no margin, no per-message charge and no surcharge of any kind. We do not resell Meta's messaging.
- We are not responsible for Meta's charges, for changes to Meta's pricing, or for any suspension or restriction Meta applies to your account or numbers.
- You authorise us to act on your WhatsApp Business Account to the extent needed to provide the Service. That authorisation ends when this agreement ends.
- On termination you may disconnect and take your account elsewhere. We will not obstruct a migration.
6. Meta's terms apply as well as ours
Your use of the WhatsApp Business Platform is governed by Meta's terms and policies in addition to these terms, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and, where relevant, the WhatsApp Commerce Policy. Where those policies restrict what may be sent, that restriction applies to you through us. Meta may change them at any time, and we cannot waive them.
Message template categories, opt-in requirements, quality rating and messaging limits are all determined by Meta, not by us.
7. Acceptable use
This section is the one we enforce most seriously. Breaching it damages your number, other customers on the platform, and the people receiving the messages.
7.1 Consent is mandatory
- You may only message a person who has given consent to be contacted by your business on WhatsApp, for the purpose you are contacting them about.
- You must be able to evidence that consent — where it was collected, when, and what the person agreed to receive.
- Consent for one purpose does not extend to another. Agreement to receive an order update is not agreement to receive a promotional offer.
- You must honour opt-outs immediately and permanently, including opt-outs collected outside Wrenbell.
7.2 Prohibited sources of contacts
You must not upload or send to:
- Purchased, rented, leased or otherwise acquired contact lists
- Numbers scraped or harvested from websites, directories or social platforms
- Numbers collected for one business and used by another
- Numbers on a do-not-disturb or preference register you are required to respect
- Any list you cannot show a consent trail for
We may ask you to demonstrate consent for a list at any time, and may refuse to send until you do.
7.3 Prohibited content and conduct
You must not use Wrenbell to send or do anything that is unlawful in India, that breaches Meta's policies, or that involves:
- Fraud, phishing, impersonation of another business, or misrepresentation of who is sending
- Content that is defamatory, obscene, harassing, hateful, or that promotes violence or discrimination
- Goods or services Meta prohibits, including those in its restricted categories
- Malware, or links intended to compromise a recipient's device or accounts
- Circumventing rate limits, opt-out enforcement, or any other control in the Service
- Reselling, white-labelling or granting access to the Service to a third party without our written agreement
- Reverse engineering, copying or creating a derivative of the Service
- Automated access other than through interfaces we provide for the purpose
7.4 Consequences
If we have reasonable grounds to believe this section is being breached, we may pause sending, suspend the workspace, or terminate the agreement, with or without notice depending on the seriousness. Where we can, we will tell you first and give you a chance to fix it. Where the risk is immediate — to recipients, to number quality, or to our standing with Meta — we will act first and explain afterwards. Fees already paid are not refundable in the event of termination for breach of this section.
8. Data protection
You are the data fiduciary for the personal data of the people you message. We act as your processor for that data, handling it only on your documented instructions and only to provide the Service.
You are responsible for having a lawful basis to hold and use those contacts, for giving them the notices the law requires, and for answering their requests. We will assist you with such requests as described in the Privacy Policy.
We are the data fiduciary for your account and billing data.
Our security measures, retention periods and sub-processors are set out in the Privacy Policy, which forms part of these terms. Deletion is described in the data deletion instructions. A separate Data Processing Addendum should be prepared for customers who require one.
9. Fees and billing
- Subscription fees are as set out in your plan at the time you subscribe. Fees are stated exclusive of GST, which is charged in addition at the applicable rate.
- Subscriptions are billed in advance, monthly or annually as chosen. Payment is due on the invoice date.
- Meta's messaging charges are separate, are billed by Meta to you, and are not collected by us.
- One-time charges, such as onboarding and template setup, are invoiced separately and are non-refundable once the work is done.
- We may change subscription pricing with at least [30] days' notice. A change does not affect a period already paid for.
- If an invoice is unpaid, we may suspend the workspace. Data is retained for 90 days from suspension, after which it may be deleted.
- Refunds and cancellation are governed by our [Refund and Cancellation Policy — to be published before payment collection begins].
10. Availability and support
We target 99.5% monthly availability, excluding scheduled maintenance notified in advance and outages caused by Meta, your network, or events outside our reasonable control. This is a target, not a guarantee, and does not by itself create a service credit unless a separate service level agreement says so.
Support is provided by email during Indian business hours. Response times vary by plan.
We are not responsible for message delivery failures, delays, template rejections, quality rating changes, messaging limit reductions, or account restrictions imposed by Meta.
11. Suspension and termination
- You may cancel at any time with effect from the end of your current billing period.
- We may terminate for material breach that is not remedied within [15] days of written notice, or immediately for a breach of section 7.
- Either party may terminate on [30] days' written notice.
- On termination, access to the Service ends. You may export your data before termination takes effect, and may request an export for 30 days afterwards.
- Data is deleted in accordance with the retention schedule.
12. Intellectual property
We own the Service, its software, design and documentation, and the Wrenbell name and marks. You get a non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
You own your content — your contacts, your templates, your messages and your media. You grant us only the licence needed to host and transmit it in order to run the Service for you.
If you give us feedback, we may use it to improve the product without owing you anything for it.
13. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care. Beyond that, and to the extent the law allows, the Service is provided as is. We do not warrant that it will be uninterrupted or error free, that any message will be delivered, or that any template will be approved.
You warrant that you have the rights and consents necessary for the content and contacts you put into the Service.
14. Limitation of liability
Neither party excludes liability for anything that cannot lawfully be excluded, including fraud.
Subject to that, we are not liable for loss of profit, revenue, goodwill, business opportunity, or for indirect or consequential loss. Our total liability arising out of or in connection with this agreement in any twelve-month period is limited to the subscription fees you paid us in the twelve months before the claim arose.
We are not liable for charges billed to you by Meta, or for any consequence of Meta suspending, restricting or terminating your account.
15. Indemnity
You will indemnify us against claims, penalties and reasonable costs arising from your breach of section 7, from your content, or from your failure to obtain the consents required for the people you message.
16. Changes
We may update these terms. For material changes we will give at least [30] days' notice by email or in the application. If you do not accept a change, you may cancel before it takes effect. Continuing to use the Service after that date means you accept the updated terms.
17. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute. Before starting proceedings, both parties will attempt in good faith to resolve the matter by discussion for at least 30 days.
18. General
- These terms, together with the Privacy Policy, the data deletion instructions and your order or plan confirmation, are the whole agreement between us.
- If any provision is unenforceable, the rest continues in effect.
- You may not assign this agreement without our consent. We may assign it to a successor of our business.
- Not exercising a right does not waive it.
- Nothing here creates a partnership, agency or employment relationship.
